Special Referral Policy “Grandfathered 15% Referral Reward for 2026 Referrers”

This Servermall Cloud Special Referral Policy (the “Special Referral Policy”) sets out the principles and procedures followed by UAB ServerMall  and its Affiliates (collectively, “Servermall Cloud”, “SMCS”, “We”, “Us”), which own and operate the website www.cloud.servermall.com (the “cloud.servermall.com” website, the “Site”), in relation to their interaction with their users (collectively, “You”, “Clients”, “Users”) within a programme designed to encourage the existing Clients of the company to attract new Clients to use Servermall Cloud Services (the “Referral Programme”).

1. General Provisions

1.1. This Special Referral Policy is a Servermall Cloud document, applies together with the Servermall Cloud Referral Policy (the “Policy”) and the Servermall Cloud Customer Agreement (the “Agreement”), and sets out amendments, clarifications or additions to the Policy (collectively, the “Special Terms”, and individually, a “Special Term”). The Special Terms apply only if the conditions set out in Section 3 of this Special Referral Policy are satisfied (the “Conditions for Application”).

1.2. Capitalised terms used in this Special Referral Policy and not defined in it have the meanings set out in the Policy and, where the Policy does not define them, the meanings set out in the Agreement.

1.3. This Special Referral Policy takes effect on the date of its publication on the Site.

2. Priority and Interaction of Documents

2.1. If a Separate Referral Agreement has been concluded between Servermall Cloud and the Referrer, its provisions take precedence over this Special Referral Policy to the extent expressly governed by that agreement.

2.2. To the extent expressly governed by this Special Referral Policy, its provisions take precedence over the corresponding provisions of the Policy and, to the extent not governed by the Policy, over the provisions of the Agreement, its appendices and other documents expressly referred to in the Policy.

2.3. To the extent not governed by this Special Referral Policy, the provisions of the Policy apply and, to the extent not governed by the Policy, the provisions of the Agreement, its appendices and other documents expressly referred to in the Policy apply.

3. Conditions for Application

3.1. The Conditions for Application of this Special Referral Policy are deemed to be satisfied in relation to a Referrer only if all of the following conditions are met:

  1. The Referrer completed registration in the Servermall Cloud Referral Programme on or before 31 December 2026.
  2. The Referrer has attracted at least one Referral, and that Referral has made at least one payment for Programme-Eligible Services; at least one such payment has been accepted by Servermall Cloud, and the corresponding amount has been recognized as Qualifying Net Revenue on or before 31 December 2026.

3.2. The fact that the Conditions for Application are satisfied, the date on which they are satisfied, as well as the date on which Servermall Cloud establishes that the Conditions for Application are satisfied (the “Date of Determination”), are determined by Servermall Cloud on the basis of its own operational, billing, accounting, payment, technical and other records.

3.3. The Special Terms set out in Section 4 of this Special Referral Policy apply to the relevant Referrer from the Date of Determination.

4. Special Terms

4.1. This Special Referral Policy sets out the following Special Term, which amends the provision of the “Commercial Terms of the Referral Programme” section of the Policy regarding the amount of the Reward: for a Referrer in relation to whom Servermall Cloud has established that the Conditions for Application are satisfied, the Reward is 15% of the Qualifying Net Revenue actually received by Servermall Cloud from that Referrer’s Referrals for Programme-Eligible Services. This rate applies in respect of payments actually received by Servermall Cloud after the Date of Determination, including payments received after 31 December 2026.
